Terms of Service for Asly

1. Overview
Welcome to Asly. These Terms of Service (“Terms”) govern your access to and use of the Asly platform, including our website, software, and services (collectively, the “Platform”).
By creating an account or using the Platform, you agree to be bound by these Terms.
2. The Service & Credit System
Asly provides a cloud-based e-commerce CMS and website builder operating on a usage-based credit system.
2.1 Definition of Credits
“Credits” are digital, non-cash utility units used to access and operate features of the Platform (e.g., hosting, order processing, automation tools).
No cash value. Credits are a functional software utility and do not constitute a monetary balance, “e-money,” or any form of currency. Promotional or bonus credits granted by Asly have no cash value and are not eligible for refunds or exchange under any circumstances.
2.2 Consumption Logic
Credits are consumed based on usage, such as processing customer orders or maintaining premium features, as specified in your dashboard.
2.3 Non-Transferability
Credits are tied to your account and may not be transferred, resold, or exchanged for cash or monetary value.
2.4 Expiration
Your credit balance follows a single rolling period: it remains valid for twelve (12) months from the date of your most recent credit increase (for example, a purchase, promotional grant, signup bonus). Each new credit grant restarts that twelve-month period for your entire remaining balance. Unless otherwise stated at purchase, any balance still unused after that period expires and is non-refundable.
2.5 Abuse Protection
Asly reserves the right to suspend, adjust, or revoke credits in cases of fraud, abuse, or attempts to exploit the system.
3. Billing & Payments
3.1 Merchant of Record
We use Polar.sh as our Merchant of Record (MoR). All payments are processed securely through them. Polar.sh is responsible for payment processing, invoicing, and applicable tax handling.
3.2 Pricing
All pricing is displayed on the Platform or at checkout and may be updated from time to time.
3.3 Refund Policy
Due to the digital nature of our services and immediate delivery of credits, purchases are generally non-refundable. However, refunds may be issued where required by applicable law or in cases of verified technical error.
3.4 Payment Failures
We reserve the right to suspend or limit access to the Platform if payment fails or is disputed.
4. Data Ownership & Intellectual Property
4.1 Your Content
You retain full ownership of all content you upload, including but not limited to text, images, videos, product listings, and customer data (“Content”).
You grant Asly a worldwide, non-exclusive, limited license to host, store, reproduce, and display your Content as necessary to provide, maintain, secure, and improve the Platform.
You are solely responsible for your Content and its legality.
4.2 Our Platform
Asly, including its software, code, infrastructure, design, features, and branding, remains the exclusive property of Asly.
You may not copy, modify, distribute, reverse engineer, scrape, or attempt to gain unauthorized access to any part of the Platform.
4.3 Feedback
Any feedback, suggestions, or ideas you provide may be used by Asly without restriction or compensation.
5. Data Use & Platform Integrity
Asly may use aggregated and anonymized data to:
- Improve the Platform
- Enhance performance and features
- Detect fraud and abuse
We do not sell or use individual merchant data to create competing businesses.
6. Acceptable Use Policy (AUP)
You agree not to use Asly to:
- Sell illegal, counterfeit, or regulated goods without proper authorization
- Distribute pirated or unauthorized digital content (including IPTV services)
- Engage in fraud, phishing, or deceptive practices
- Violate intellectual property rights
- Promote harmful, abusive, or unlawful content
- Violate the laws of the Kingdom of Morocco or applicable jurisdictions
Enforcement
Asly reserves the right to suspend or terminate accounts that violate this policy without notice and without refund of remaining credits.
7. Account Responsibility
You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity under your account
Asly is not liable for unauthorized access resulting from your failure to secure your account.
8. Service Availability & Changes
8.1 Availability
The Platform is provided “as is” and “as available.” We do not guarantee uninterrupted or error-free service.
8.2 Modifications
Asly may modify, update, or discontinue features or services at any time without prior notice.
9. Third-Party Services
The Platform may rely on third-party providers (including payment processors, hosting infrastructure, and integrations).
Asly is not responsible for failures, delays, or outages caused by these third parties.
10. Limitation of Liability
To the maximum extent permitted by law:
- Asly shall not be liable for indirect, incidental, or consequential damages
- Total liability for any claim is limited to the amount you paid in the three (3) months preceding the claim
11. Termination
11.1 By You
You may stop using the Platform at any time. Unused credits are non-refundable upon account closure.
11.2 By Us
We may suspend or terminate your account if:
- You violate these Terms
- You fail to make payments
- Your account is involved in fraud or high-risk activity
12. Communications
You agree that Asly may contact you regarding:
- Account activity
- Billing and payments
- Service updates and changes
13. Governing Law & Disputes
These Terms are governed by the laws of the Kingdom of Morocco.
Any disputes that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the courts of Casablanca.
14. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
